Terms of service
End user licence agreement for SAFI.
1. About these terms
SAFI is business management software provided by Sycamore Interiors Ltd ("we", "us"). These terms are the agreement between us and the business that uses it ("you"). By signing in or using SAFI you accept them. If you accept on behalf of a business, you confirm you have the authority to do so.
2. The service
SAFI lets a business manage customers, suppliers, products and stock, purchasing, sales orders, deliveries, invoices and work orders. It can also connect to a QuickBooks Online company, as described in section 5. We may improve, change or remove features, and will try to give notice of changes that significantly affect you.
3. Accounts and access
Each business has its own separate workspace. Administrators in your business decide who else can sign in and at what access level. You are responsible for keeping sign-in details secure, for the people you give access to, and for everything done using your accounts. Tell us promptly if you think an account has been compromised.
4. Your data
You own the information you put into SAFI ("your data"). You give us permission to store and process it only as needed to provide the service to you, including the QuickBooks connection if you turn it on. You are responsible for having the right to enter your data, including personal information about your own customers and suppliers, and for its accuracy. How we handle personal information is set out in our privacy policy.
5. QuickBooks Online connection
The QuickBooks connection is optional and is turned on by an administrator signing in to QuickBooks through Intuit's own authorisation screen. By connecting, you authorise SAFI to act on that QuickBooks company as follows:
- create and update customers in QuickBooks from the customers in SAFI, including marking a customer inactive there when it is marked inactive here;
- create invoices in QuickBooks from the sales invoices in SAFI, including VAT where your business is marked as VAT registered;
- read the company's basic details, and the total and balance of the invoices SAFI has sent, so it can show whether they have been paid.
SAFI does not read or change anything else in your QuickBooks company, and does not delete any records there. You can disconnect at any time from the QuickBooks page in SAFI, or from your QuickBooks account. Disconnecting stops all further access; records already sent to QuickBooks stay there and are yours to manage in QuickBooks.
Your use of QuickBooks is governed by your agreement with Intuit. QuickBooks is a trademark of Intuit Inc.; SAFI is not provided by, or affiliated with, Intuit.
6. Tax and accounting
SAFI applies the 20% standard VAT rate to invoices when your business is marked as VAT registered, and no VAT otherwise. It does not decide whether you must register, which rate applies to a sale, or how to report VAT. We do not give tax or accounting advice. You are responsible for checking that invoices, VAT and anything sent to QuickBooks are correct, and for your tax returns.
7. Acceptable use
You must not use SAFI unlawfully, try to break or bypass its security, access another business's workspace, interfere with the service for others, or use it to send harmful or infringing material.
8. Availability
We aim to keep SAFI available and your data safe, but we cannot promise it will always be uninterrupted or error-free. Services we rely on, such as Microsoft Azure and QuickBooks, may be unavailable or change.
9. Our responsibility
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence or for fraud. Subject to that, SAFI is provided "as is", and we are not liable for indirect or consequential loss, loss of profit, or loss caused by services outside our control. Our total liability in connection with the service is limited to [amount or fees paid in the previous 12 months, to be agreed].
10. Ending this agreement
You may stop using SAFI at any time. We may suspend or end your access if you break these terms or if we stop providing the service, and will try to give reasonable notice. On request we will return or delete your data as described in the privacy policy.
11. Changes to these terms
We may update these terms. If a change is significant we will tell you before it takes effect. Continuing to use SAFI after that means you accept the updated terms.
12. Governing law
These terms are governed by the law of [England and Wales, to be confirmed], and its courts have jurisdiction over any dispute.
